Highly qualified and experienced first-line Board and management team
Our bylaws provide that the Board of Directors shall be composed of a minimum of 6 directors and a maximum of 15 directors and an equal number of alternates. The renewal of positions will be of a third of the total number each year and each third will have a three-year term in office, and may be reelected indefinitely.
Currently, our Board of Directors is composed of twelve directors and four alternate directors. The alternate directors will be called upon to serve in case of absence, vacancy or death of a director and until a new director is appointed.

Executive Committee
In accordance with our bylaws, our business activities are managed by the Executive Committee, which is comprised of five directors and one alternate director, including the Chairman, First Vice-Chairman and Second Vice-Chairman of the Board of Directors. The Executive Committee meets as necessary to our business or at the request of one or more of its members.
The Executive Committee is responsible for managing daily business activities as per the authority delegated to it by the Board of Directors in accordance with applicable laws and our bylaws. Supervisory Commission
The IRSA’s Supervisory Committee is responsible for reviewing and overseeing the company’s administrative actions and matters, as well as ensuring compliance with the bylaws and the resolutions adopted in shareholders’ meetings. It is composed of three regular members and three alternate members, appointed by the Ordinary General Meeting, serving for a one-year term, and must meet at least once every three months.

Audit Committee
Our Company has an Audit Committee in accordance with the Law No. 26,831, the Capital Markets Law, and the regulations of the National Securities Commission (CNV).
It is a Board Committee whose main function is to assist the Board in: (i) fulfilling its responsibility to exercise due care, diligence, and competence in relation to our Company, particularly regarding the application of accounting policies and the issuance of financial and accounting information; (ii) managing business risks and internal control systems; (iii) overseeing the Company’s conduct and business ethics; (iv) supervising the integrity of our financial statements; (v) ensuring the Company’s compliance with legal provisions; (vi) overseeing the external auditor’s independence and competence; (vii) monitoring the performance of the Company’s internal audit function and external auditors; and (viii) at the request of the Board, issuing an opinion on whether the transactions conditions between related parties involving significant amounts can be reasonably considered adequate in line with normal and usual market practices.
In accordance with the provisions of the Capital Markets Law, CNV regulations, and the NYSE rules (where IRSA is also listed), the Audit Committee is composed of three independent members from the Board of Directors.

Integrity Program

Code of Ethics
The Code of Ethics’ main objective is to promote and foster an ethical framework. It addresses issues such as work environment, confidential information, business integrity, conflicts of interest, and the protection of the company’s assets.
The management and resolution of issues related to the Code are handled by the Ethics Committee.
